Thales Cloud Protection & Licensing (“CPL”) is a worldwide business comprised of a multinational team working together to support the mission of being the worldwide leader in data protection by providing everything an organization needs to protect and manage its data, identities and intellectual property.  And the CPL Legal & Contracts (“CPL L&C”) team plays a critical and important role in CPL’s effort to achieve its mission.  We have two core legal teams, one in Europe, Middle East & Africa (“EMEA”) and one in North American (“NORAM”), we work closely with our in country legal teams and the regional legal teams in Asia Pacific (“APAC”) and Latin America (“LATAM”), and with our legal counterparts in the four other business lines within Thales Data Identity & Security (“DIS”) global business unit.

Job description Legal Counsel EMEA Thales

You will provide leadership and guidance on a broad range of legal & compliance matters and be a member of the team that ensures that legal and contractual risks are identified and mitigated in support of commercial activities. Your primary responsibilities will be to draft and negotiate a broad range of commercial agreements in collaboration with internal stakeholders and in accordance with internal standards, policies and procedures in a timely and efficient manner. In addition to supporting CPL EMEA business (80%), you will also support the larger DIS business and activities in the Netherlands (20%). You will report to CPL’s legal counsel in Spain and the director L&C in the Netherlands. Location: Pernis Rotterdam.

The main tasks are:

Draft, negotiate, structure, implement, manage and monitor a wide variety of commercial agreements, including but not limited to, sale side and buy side agreements, licensing agreements, cloud services agreements, master services agreements, statements of work, RFP responses, and supporting documents that are in line with Thales’ policies and procedures, risk profile, risk mitigation measures and applicable law.

Uphold the integrity of the business and support local experts in the implementation of legal-related compliance policies and processes adopted by the Thales Group, including those relating to anti-corruption, antitrust, trade compliance (incl. export control) and data privacy (incl. GDPR).  Train internal stakeholders on compliance instructions and policies and monitor the application and implementation of the compliance program in business line activities.

Advise business partners of contractual rights and obligations, provide interpretation of terms and conditions, ensure contractual commitments comply with applicable laws and actively manage and mitigate risks relating thereto.

Serve as a product line(s) subject matter expert, creating templates and advising in-country legal teams, management and product line about legal aspects of the product offers for which you are responsible.

The ideal candidate will have a Master Degree in law and will have 8-10 years’ experience in a law firm or as a legal counsel in a company with an outstanding reputation.  You have strong commercial transactional skills, are up to date on current legal issues and have an interest to work in an international and challenging environment where you, besides understanding the legal aspects, will also understand the technical, financial and commercial aspects of the business.  Furthermore, you have a familiarity with compliance responsibilities, the ability to work with a geographically diverse group of customers and stakeholders, a willingness to learn, excellent people & time management skills and pragmatic business judgment.  You are client-focused, all-around team player, have outstanding negotiating skills and good command of, both oral and written, English and Dutch (proficiency with other languages is also highly valued).
